Before a complex or higher-risk collective investment scheme (CIS) can be sold, the investor must receive full disclosure (prospectus and Product Highlights Sheet), and the distributor must assess whether the product is suitable and whether the client has the knowledge or experience to understand it β with extra knowledge-assessment 'gates' for Specified Investment Products and enhanced safeguards for retail clients.

A collective investment scheme (CIS) pools money from many investors and invests it collectively; a complex or higher-risk CIS adds features that an ordinary retail investor may struggle to understand β for example use of derivatives, leverage, structured or capital-at-risk payoffs, limited liquidity, or exposure to less transparent underlying assets.
Because these products can produce outcomes that are hard to foresee, the regulatory regime relies on two complementary pillars:
Disclosure alone is not enough for complex products: an investor may receive perfect documents yet still not grasp the risks, so the framework layers a knowledge/suitability gate on top of disclosure.
An authorised or recognised CIS offered to retail investors must be accompanied by a registered PROSPECTUS. The prospectus is the full, legally required disclosure document that sets out everything a reasonable investor needs to make an informed decision.

The manager is responsible for the accuracy of the prospectus, and it must not contain any false or misleading statement or omit information required to be disclosed. A prospectus has a limited validity period and must be kept current, with material changes disclosed to investors.
For a complex CIS, the prospectus must clearly explain the complex features and the specific risks they create, not merely list generic risks.
